End User License Agreement (EULA)

Effective date: 12 May 2026 (last materially updated 28 September 2026) Licensor: Borago Soft Limited, a New Zealand limited company (NZ company number 9428048, NZBN 9429053662910) with its registered office at 7a Garner Place, Glenfield, Auckland 0629, New Zealand. Software: the Borago Board desktop application (the "Software").

This EULA is a legal agreement between you ("you", "Licensee") and Borago Soft Limited ("we", "us"). By installing, copying, or using the Software, you agree to this EULA. If you do not agree, do not install or use the Software.

1. License grant

Subject to this EULA, we grant you a personal, non‑exclusive, non‑transferable, revocable license to install and use the Software on devices you own or control, for your internal development purposes. The Software is licensed, not sold.

2. Restrictions

You may not: (a) reverse‑engineer, decompile, or disassemble the Software except to the extent this restriction is prohibited by law; (b) rent, lease, lend, sell, redistribute, sublicense, or provide the Software as a service to third parties; (c) remove or alter proprietary notices; (d) use the Software to build a competing product; or (e) use the Software in violation of any applicable law or of the third‑party terms in Section 5.

3. The Software controls AI automation on your machine — your responsibility

You understand and agree that the Software:

  • Requires Docker and manages Docker resources on your machine — it creates, starts, stops, and removes containers, images, networks, and volumes, and consumes your device's CPU, memory, disk, and network while doing so. Quitting the Software stops its running tasks but not your project containers. They keep running, and start again whenever Docker starts, until you stop them, and they go on using those resources while they run.
  • Can, at your request, help set up its own prerequisites: it may download the official Docker installer from Docker's website and open it, launch or start Docker when it is installed but not running, install Docker from your Linux distribution's own packages, add your user account to the operating system's docker group, and download (checksum‑verified, from its official releases) and install the gVisor (runsc) container runtime, including restarting the Docker service. On an Apple Silicon Mac it can also, at your request, install Apple's Rosetta 2 through macOS Software Update, which Docker Desktop's default x86_64 emulation setting requires. Every step that needs administrator rights goes through your operating system's own permission prompt, and the Software never accepts a third party's license on your behalf — with one stated exception, Rosetta 2, where the button that installs it names and links Apple's software license and pressing that button is your acceptance of it, exactly as typing "A" at Apple's own Terminal prompt would be — see Section 5.
  • Executes an AI coding agent that calls the AI service you configure — Anthropic (Claude), OpenAI, xAI (Grok), or Google (Gemini), each via that provider's API using your own API key, or a self‑hosted model server you run yourself — and runs the actions it decides on inside Docker containers on your machine — it can create, modify, and delete files; run arbitrary shell commands; install software; clone Git repositories; push to remote repositories; and create or remove containers.
  • Acts on your instructions and under your supervision. You are solely responsible for reviewing the agent's actions and output, for the state of your code and repositories, and for any commands the agent runs.
  • May be affected by prompt injection or by untrusted content in repositories, tasks, or attachments. You are responsible for the trustworthiness of inputs you provide to it.
  • Provides optional container isolation (gVisor/runsc) that may not be available on your platform or configuration; the Software may run agents with reduced or no sandboxing. No isolation guarantee is made.

You assume all risk arising from the agent's actions, including lost, overwritten, or unpushed code and data, unintended commits/pushes, and any resource or cloud costs incurred.

4. Credentials and keys

The Software stores credentials you provide (e.g. Git tokens/SSH keys, AI API keys, project environment variables) locally on your device, encrypted at rest, and injects them into containers at runtime. Ambiently configured Git credentials may remain readable inside a running container for its lifetime. We strongly recommend using dedicated, least‑privilege credentials. You are responsible for your credentials and for any use made of them.

5. Third‑party services and software

The Software is provided free of charge and interoperates with third‑party services and tools, including the AI providers you choose to connect — Anthropic (Claude), OpenAI, xAI (Grok), and Google (Gemini), each via that provider's API — Docker, and Git hosting providers, using your own API keys and accounts. The Software can also connect to a self‑hosted model server you run yourself, which involves no provider at all. Borago Soft Limited does not sell, resell, or provide access to any AI service and does not charge for AI usage. Your use of those services is governed by their terms and privacy policies, not this EULA. When the AI runs, your prompts and related content are transmitted to the provider you configured for that project for processing under your API key (or to your own server). Project settings include an MCP option. This version of the Software has no MCP client, so the option loads no tool servers. If a future version acts on it, any tool servers it loads are third‑party software running in your container under your credentials, governed by their authors' and any reached services' terms, and Borago Soft Limited is not responsible for their conduct.

At your request the Software can download and launch installers for third‑party software — Docker Desktop from Docker's official distribution site, and the gVisor runtime from its official releases. That software is licensed to you by its vendor under the vendor's own terms, not under this EULA: Docker Desktop's license is presented and accepted in Docker's own installer or first run, never by the Software (Docker's subscription terms may require a paid plan for use in larger organizations — that is between you and Docker), and gVisor is distributed under its own open‑source license. On an Apple Silicon Mac the Software can also run Apple's own Software Update to install Rosetta 2, Apple's translation layer for Intel binaries, when Docker Desktop's default settings need it. Rosetta 2 is licensed to you by Apple under the Apple software license agreement that the install button names and links; because Apple's installer takes acceptance as a command‑line flag rather than showing a dialog, your press of that button is your acceptance of Apple's license, and the Software passes that acceptance to Apple's installer and nowhere else. Note that Apple provides no supported way to remove Rosetta 2 once installed; the alternative, which the app also offers, is to turn off x86_64 emulation in Docker Desktop and stay on native images. Borago Soft Limited provides no warranty for third‑party software the Software downloads or launches at your request and is not responsible for its conduct, availability, or licensing.

You represent and warrant that you are authorized to use each API key you connect and that your use of the Software complies with that provider's terms and usage policies (including any restrictions on automated or programmatic use). You are responsible for staying within your entitlements and for each provider's fees. You will indemnify Borago Soft Limited against any third‑party claim (including by an AI provider) arising from your credentials or your breach of a provider's terms. Borago Soft Limited is not affiliated with, endorsed by, or sponsored by Anthropic, OpenAI, xAI, or Google.

6. Updates

The Software may check for and install updates. Updates are provided under this EULA unless accompanied by a separate license.

7. Ownership

We and our licensors own all rights in the Software. You own your inputs and the outputs the agent produces for you, subject to the third‑party terms in Section 5 and to third‑party rights in any generated material. AI output may be inaccurate, incomplete, insecure, non‑original, or infringing — you must review it before use.

8. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE OR ANY AI OUTPUT WILL BE ACCURATE, RELIABLE, SECURE, OR ERROR‑FREE. Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Borago Soft Limited WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, CODE, OR GOODWILL, ARISING FROM OR RELATED TO THE SOFTWARE OR THE ACTIONS OF ANY AI AGENT, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM, OR (b) USD 50. Nothing limits liability that cannot be limited by law (e.g. death/personal injury from negligence, fraud).

10. Term and termination

This EULA applies until terminated. It terminates automatically if you breach it. On termination you must stop using and delete the Software. Sections 3–5 and 7–12 survive.

Uninstalling does not erase your data. Removing or uninstalling the Software does not automatically delete the data and resources it created on your device — including the local database, project files, log files, cached keys, and the Docker containers, images, networks, and volumes it created. Those may persist after uninstallation. If you want them removed, you must delete the Software's local data directory and remove the associated Docker resources yourself. We are not responsible for data or resources left on your device after uninstallation.

11. Export and compliance

You represent that you are not located in, and will not use the Software in, any territory subject to embargo or sanctions applicable to New Zealand, and that you are not on any restricted‑party list.

12. Governing law

This EULA is governed by the laws of New Zealand, excluding its conflict‑of‑ laws rules. Disputes are subject to the courts of New Zealand, subject to any mandatory consumer‑protection rights you have where you live.
