Terms & Conditions
Effective date: 12 May 2026 (last materially updated 28 September 2026) · Provider: Borago Soft Limited, a New Zealand limited company (NZ company number 9428048, NZBN 9429053662910), 7a Garner Place, Glenfield, Auckland 0629, New Zealand.
These Terms & Conditions ("Terms") govern your use of the Borago Board desktop application and its optional features (including cloud sync). By using the app you agree to these Terms, the EULA, and the Privacy Policy.
1. Who may use it — capacity, and provider age requirements
You must have the legal capacity to enter into these Terms (or, where your law allows, use the app under the supervision of a parent or guardian who accepts them on your behalf). The app itself does not impose an adult‑only age restriction — but it is an interface to third‑party AI providers, and each provider sets its own minimum age and eligibility requirements. For example, Anthropic's terms require its users to be at least 18 years old. The app asks you to confirm, at each provider's connect step, that you are 18 or older and meet that provider's age and eligibility requirements — and by connecting you affirm it. You must not connect or use any AI provider whose age or eligibility requirements you do not meet. If you use the app for an organization, you represent that you are authorized to bind it.
2. What the app does
Borago Board is a local‑first developer tool that queues tasks and executes them using an AI coding agent that calls the AI service you configure — Anthropic (Claude), OpenAI, xAI (Grok), or Google (Gemini), each via that provider's API with your own API key, or a self‑hosted model server you run yourself — and runs inside Docker containers on your device. The app requires Docker and creates, starts, stops, and removes containers, images, networks, and volumes on your machine; where your system supports it, the app runs agent containers under the gVisor (runsc) runtime for isolation, but no isolation is guaranteed (see EULA §3). At your request the app can also help install and start these prerequisites — downloading the official Docker installer and opening it, starting Docker when it is not running, installing Docker from your Linux distribution's packages, installing the gVisor runtime, or (on an Apple Silicon Mac) installing Apple's Rosetta 2 through macOS Software Update — always behind your operating system's own permission prompts, and never accepting a third party's license for you, except that the Rosetta 2 button names Apple's license and your press of it is your acceptance (EULA §3 and §5). Running containers and AI agents consumes your device's CPU, memory, disk, and network and may incur costs. Quitting the app does not stop your project containers. They keep running until you stop them (EULA §3). Your board data is stored locally by default. You may optionally enable cloud sync to a hosted service, which is governed additionally by the Web Terms and Web Privacy Policy.
Uninstalling the app does not necessarily delete your local data or the Docker resources it created. Your local database, project files, logs, cached keys, and the app's Docker containers, images, networks, and volumes may remain on your device after you uninstall. You are responsible for removing them if you want them gone — see EULA §10 and the Privacy Policy §5.
3. Your responsibilities
You are responsible for:
- Supervising the AI agent and reviewing its actions and output before relying on them (see EULA §3). The agent can modify files, run commands, and perform Git operations including pushes.
- Your projects, code, repositories, and backups — including guarding against loss from container recreation, failed pushes, or agent error.
- The credentials you supply and using least‑privilege tokens.
- Docker and system configuration, and any resource or cloud costs incurred by containers or agents — including the system changes you approve through the app's guided setup (installing Docker or gVisor, starting services, docker group membership), each of which is initiated by you and confirmed through your operating system's own prompts.
- Your AI provider accounts and credentials. You use your own API keys for whichever providers you connect (Anthropic, OpenAI, xAI, Google), and your own infrastructure for any self‑hosted model server. You represent that you are authorized to use each key and that your use of the app complies with that provider's terms and usage policies (including any restrictions on automated or programmatic use). You are responsible for any breach of those terms, for staying within your entitlements, and for each provider's fees — including fees for provider‑side features a task run may use, such as the provider's web search.
- Complying with the terms of the Git hosts you connect.
- Network exposure you enable. If you turn on LAN/web exposure, the board is served without authentication on the address you expose — you are responsible for who can reach it on your network and for anything done through it.
- Not using the app for unlawful, infringing, or harmful purposes, to process content you have no right to process, or to generate malware or attack tooling for wrongful use.
You agree to indemnify and hold Borago Soft Limited harmless from third‑party claims (including from AI providers or Git hosts) arising out of your use of your credentials, your breach of a provider's terms, or Your Content, except to the extent caused by us.
4. Third‑party services
The app connects to third parties (your AI providers, Docker, Git hosts) with your own accounts/keys. We do not control them and are not responsible for them. Your prompts and related content are sent to the AI provider you configured for the project — Anthropic, OpenAI, xAI, or Google — via that provider's API, under your API key (or to your own self‑hosted server) when a task runs. Borago Soft Limited is not affiliated with, endorsed by, or sponsored by Anthropic, OpenAI, xAI, or Google.
5. AI output
AI‑generated content may be inaccurate, insecure, biased, non‑original, or infringing. You must review and test it before use. We make no representation that output is fit for any purpose or free of third‑party rights.
6. Fees — the app is free; you bring your own AI
The desktop app is provided free of charge. Borago Soft Limited does not charge for, resell, or provide access to any AI service. You use your own API keys (or your own self‑hosted server), and you are responsible for each provider's fees, usage limits, and terms.
The only paid offering is the optional cloud service — hosting your tasks/ board, cross‑device sync, and the control/relay plane — billed through the hosted service under the Web Terms. A cloud subscription does not include, and is not a charge for, any AI usage.
7. Intellectual property
The app is licensed under the EULA. You retain rights in your inputs and outputs. Feedback you send us may be used without obligation to you.
8. Disclaimers & limitation of liability
The app is provided "as is" with no warranties, and our liability is limited, as set out in the EULA §§8–9, which is incorporated here.
9. Suspension & changes
We may modify, suspend, or discontinue features (including cloud sync interoperability) and will make reasonable efforts to notify you of material changes. Continued use after changes take effect is acceptance.
10. Governing law & disputes
New Zealand law governs, without prejudice to mandatory consumer rights where you live. Venue: the courts of New Zealand.
